1. These Terms and Conditions of Business are between LexisNexis Visualfiles (hereafter called "The Company") and the Recruitment Consultancy (hereafter called "The Supplier").
2. If the "Supplier"submits a Curriculum Vitae for a "Candidate", these Terms and Conditions will be deemed to have been accepted.
3. The "Company"agrees to pay the "Supplier"once an engagement has been accepted within 14 days of receiving an invoice.
4. The fee payable by the "Company"to the "Supplier"for the employment of a "Candidate"is calculated as set out below, based on the basic salary that the "Candidate"is entitled to earn during the first 12 months of his/her engagement by the "Company". Remuneration includes all salary, payments excluding commission and bonus, payable or received by the "Candidate"for services rendered to or on behalf of the "Supplier".

£13,001 - £18,000 12%
£18,001+ - 15% (max fee payable)
a) In the event of the "Company"failing to pay any invoice within 30 days of the date of invoice, the "Company"shall pay interest upon the sum at the rate of 2% per annum above the base rate fixed from time to time by the HSBC Bank from the due date until payment and all bank charges and administration, legal and all other costs incurred in consequence of the delay or failure to settle the invoice.
5. The "Company"shall notify the "Supplier of any verbal and/or written offer made to the "Candidate"as soon as it is reasonably practicable after such offer has been made to the candidate, disclosing details of remuneration including all benefits, bonuses, shift allowances, guarantees and retainers etc. The "Company"shall provide copies of any offer letter and final acceptance made.
6. Should the relevant employment terminate before the expiry of twelve weeks a rebate as set out below will be payable by the "Supplier"to the "Company"(excepting where the "Candidate"is made redundant)

a) If, at any stage after 12 weeks the "Supplier"approaches the "Candidate"with a view to finding alternative employment, or assists the "Candidate"to find a position outside the "Company", the "Company"will be entitled to a refund in full.
7. If the "Supplier"places, or attempts to place an employee
of the "Company"with any other Firm, there will be no future
dealings between the "Supplier"and the "Company".
8. The "Company"will deal with the "Supplier"only with the knowledge and consent of the Managing Director of the Company.
9. The "Supplier"will endeavor to ensure the suitability of the "Candidate"is relevant to the vacancies currently held by the "Company"The "Company shall satisfy itself as to the suitability of any "Candidate"and shall take up references supplied by the Candidate and/or the "Supplier"before engaging any such "Candidate". The "Company"will be responsible for obtaining any necessary work and other permits, and also the arrangement of medical examinations, investigations into the medical history of any "Candidate"and satisfy any medical and other requirements or qualifications required by law.
10. The "Supplier"will deal directly with the Personnel Dept of the "Company"at all times.
11. No variation will be made from these Terms without the written consent of the Managing Director of the "Company".
12. This agreement shall be governed by English law in every particular including formation and interpretation and shall be deemed to have been made in England.
13. Neither party shall be liable under any circumstances for any loss, damage or expense suffered, or incurred by either party arising from or in any way connected with the "Supplier"seeking a "Candidate"for the "Company", or the introduction by the "Supplier"to the "Company"of any "Candidate"or the engagement of any "Candidate"by the "Company".
